  • Receive timely alerts before deadlines
  • Sync obligations with third-party task management tools

3. Account Registration

To use the Service, you must create an account and provide accurate, complete information. You are responsible for:

  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

4. User Responsibilities

You agree to:

  • Use the Service only for lawful purposes
  • Upload only contracts you have the right to process
  • Not attempt to reverse engineer or compromise the Service
  • Not use the Service to violate any third-party rights
  • Review and verify AI-extracted data before taking action

5. AI Processing Disclaimer

Important: Our AI-powered extraction is designed to assist, not replace, professional review. While we strive for accuracy:

  • AI extraction may contain errors or miss important details
  • You are responsible for reviewing and verifying all extracted data
  • We recommend legal review for critical contract decisions
  • PactAlert is not a substitute for legal advice

6. Subscription and Payment

6.1 Pricing

Subscription fees are based on your selected plan and are billed in advance. Prices are subject to change with 30 days notice.

6.2 Free Trial

We may offer a free trial period. You will not be charged until the trial ends, and you may cancel at any time during the trial.

6.3 Refunds

Subscription fees are generally non-refundable. Contact support for exceptional circumstances.

7. Data Ownership

  • Your Data: You retain all rights to your contracts and data. We do not claim ownership of your content.
  • License to Us: You grant us a limited license to process your data as necessary to provide the Service.
  • Aggregated Data: We may use anonymized, aggregated data for service improvement and analytics.

8. Intellectual Property

The Service, including its design, features, and content, is owned by PactAlert and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

9. Third-Party Integrations

The Service may integrate with third-party applications (e.g., Slack, Jira, Notion). Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party service availability or functionality.

10. Limitation of Liability

To the maximum extent permitted by law, PactAlert shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages arising from reliance on AI-extracted data
  • Missed deadlines or obligations due to service issues

Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless PactAlert from any claims, damages, or expenses arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

12. Service Availability

We strive for high availability but do not guarantee uninterrupted service. We may perform maintenance or updates that temporarily affect availability. We are not liable for any downtime or service interruptions.

13. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Service will be disabled
  • You may export your data within 30 days
  • We may delete your data after the retention period

We reserve the right to suspend or terminate accounts that violate these Terms.

14. Governing Law
